The window for comments on HM Treasury's proposed regulations for alternative investment fund managers closes on October 14, 2026. The package, set out in a Treasury policy note dated July 2026, mostly concerns managers based in the UK. For a U.S. sponsor that wants to raise capital from UK investors, one line matters more. The government will keep the national private placement regime, the route a fund manager outside the UK uses to market a fund there, and add a public register of the funds notified under it.
Regulation S keeps an offering outside U.S. registration, and the guide to Regulation S offerings covers that half of the work. The UK half turns on two separate questions. The first is whether the sponsor's material is a financial promotion that fits a UK exemption, which decides who may receive it. The second is whether the investment vehicle counts as an alternative investment fund, which decides whether its manager must notify the regulator before marketing at all. The argument here is that a sponsor should settle how UK law classifies its vehicle before the first deck goes out, because that answer decides whether signed investor statements are enough or a notification has to come first.
How the UK Financial Promotion Rules Reach a U.S. Sponsor
The starting point is section 21 of the Financial Services and Markets Act 2000, which bars anyone acting in the course of business from making a communication that is an "invitation or inducement to engage in investment activity" unless an authorized firm makes or approves it, or an exemption applies. Under subsection (3) it reaches any communication "capable of having an effect in the United Kingdom", which is wide enough to cover material sent from the United States to a UK inbox.
Most private offers to individuals rely on exemptions in the Financial Promotion Order 2005. Article 48 covers certified high net worth individuals, meaning investors who have signed a statement in a prescribed form within the 12 months before the communication. Article 50A does the same for investors who certify themselves as sophisticated. Both apply only when the communication relates to a narrow list of investments, chiefly shares and debt in unlisted companies, and when the investor cannot be required to pay in more than they committed.
The income and net asset tests behind those statements are set in pounds. Changes that took effect on January 31, 2024 raised them, and a 2024 amendment order restored the earlier, lower thresholds from March 27, 2024, according to its explanatory note. A sponsor should check that each statement uses the current form and was signed within the past 12 months. Whether a holding in a U.S. vehicle fits the list of investments is a point for UK counsel to confirm early, since the whole investor file depends on it.
When the Vehicle Is an Alternative Investment Fund
The second question sits in fund regulation. If UK law treats the vehicle as an alternative investment fund, its manager markets it through the national private placement regime. The FCA's guidance on the regime sets out two routes for managers based outside the UK, regulation 58 for smaller managers and regulation 59 for those above the threshold. The manager files a notification, and the FCA says marketing can start once it has received it.
The regime depends on cooperation between regulators, and the FCA lists the SEC among the authorities with which it has signed supervisory cooperation arrangements. Goodwin's July 23, 2026 alert for managers outside the UK notes that a manager must notify the FCA before distributing any document to UK investors, such as a subscription document or a final private placement memorandum.
What counts as marketing is set out in the FCA's perimeter guidance. It covers an offering or placement made by the manager, or by someone at its initiative or on its behalf, to an investor domiciled or with a registered office in the UK. An approach made at the investor's own initiative falls outside it, and a written confirmation from the investor obtained before the offer should normally support that. A confirmation gathered to get around the rules does not count. Whether a single property syndication is an alternative investment fund at all, and who counts as its manager, are questions for UK counsel.
What the July 2026 Proposals Keep and Change
The Treasury policy note keeps the regime for overseas managers. It would let the FCA keep a public register of notified funds and of those whose marketing rights were suspended or revoked. It would also give the FCA a simpler process to suspend or revoke permission to market. In a July 17, 2026 alert, Goodwin adds that managers would also have to tell the FCA when they stop marketing in the UK.
Alongside the Treasury proposals, the FCA published consultation paper CP26/28 on July 14, 2026. It proposes a three tier structure of small, medium and large managers, and its consultation chapters stay open until October 22, 2026. All of this remains at the proposal stage, and Goodwin expects most of the changes to take effect in 2028, so a sponsor planning a UK raise in 2027 works under today's rules while watching what the final versions require.
Where Regulation S and U.S. Tax Fit
The UK steps sit in front of the U.S. ones rather than replacing them. Under Rule 903, a Regulation S sale must be an offshore transaction with no directed selling efforts in the United States. A U.S. company selling equity abroad generally falls into Category 3, the strictest tier. It carries a one year distribution compliance period for a company that does not report to the SEC, and each buyer must certify that it is not a U.S. person. The same order of work applies when sponsors raise capital from Singapore investors, with local rules settled first.
The United Kingdom appears on the IRS list of countries with a U.S. income tax treaty. The IRS says most types of U.S. source income received by a foreign person are taxed at 30 percent unless a lower rate applies, and an investor generally claims a treaty rate on Form W-8BEN or Form W-8BEN-E at onboarding. When offshore investors invest through a U.S. C corporation blocker, the blocker holds the partnership interest and pays dividends, which are reported on Form 1042-S, and the withholding agent files Form 1042. The guide to Forms 8804, 8805 and 1042-S explains how this differs from direct partnership holdings.
What Sponsors Can Do Before They Raise Capital from UK Investors
The order matters, because each step depends on the answer to the one before it. The first conversation with a UK investor should come only after the file is in place.
- Ask UK counsel whether the vehicle is an alternative investment fund, and who would count as its manager.
- If it is, file the private placement notification before any subscription document reaches a UK investor.
- Confirm which promotion exemption each communication relies on, and collect a current signed statement from every individual who receives material.
- Decide whether an authorized UK firm will make or approve communications, and keep public posts free of anything that reads as an invitation.
- Record any investor who approached first with a written confirmation obtained before the offer.
- Collect Form W-8BEN or Form W-8BEN-E at onboarding, and plan withholding with the CPA.
Raveum offers sponsors an investment management platform, fund administration, a global raise track under Regulation S and an operating partnership for selected sponsors. Offshore investors invest through a U.S. C corporation blocker, and sponsors keep their investor relationships, their property and their business plan. See how the Raveum Sponsor Program works.
Why Classification Comes Before the Deck
The Treasury's decision to keep the private placement regime means the route for overseas managers survives the rewrite, with a public register and a firmer exit process attached. That makes the classification question more pressing, because a notified fund would be visible to anyone who checks. A sponsor that knows whether its vehicle is a fund in UK eyes can choose between signed investor statements and a notification with confidence, and can build its Regulation S file around a channel the UK allows. One that starts with the deck may find it has already communicated too early.
None of this changes what UK investors take on. They face the same risks as any investor in a private real estate deal, including loss of capital, illiquidity, falling property values, tenants leaving, distributions not being paid, leverage and movements between the dollar and the pound. The offering documents should say so plainly, and the Regulation S guide for U.S. real estate sponsors sets out the U.S. framework those documents rest on.
Frequently Asked Questions
Can a U.S. Real Estate Sponsor Raise Capital from UK Investors
Yes, when both sets of rules are met. Regulation S allows a sale outside the United States when it is an offshore transaction with no directed selling efforts in the United States. The UK separately requires each communication to fit a financial promotion exemption or be made or approved by an authorized firm, and a fund manager outside the UK generally notifies the FCA before marketing.
What Is the UK Financial Promotion Restriction
It is the rule in section 21 of the Financial Services and Markets Act 2000 that bars anyone acting in the course of business from communicating an invitation or inducement to invest unless an authorized firm makes or approves it, or an exemption applies. It also covers communications sent from abroad that are capable of having an effect in the United Kingdom.
Who Counts as a Certified High Net Worth Individual in the UK
Under article 48 of the Financial Promotion Order 2005, it is an individual who has signed a statement in the prescribed form, within the previous 12 months, showing income or net assets above thresholds set in pounds. The exemption covers only communications about a narrow list of investments, mainly shares and debt in unlisted companies, and it is not U.S. accredited investor status.
What Is the National Private Placement Regime
It is the UK route that lets an alternative investment fund manager based outside the UK market a fund to UK investors. The manager notifies the FCA, may begin marketing once the notification is received, and must report transparency information. HM Treasury's July 2026 proposals keep the regime and add a public register of the funds notified under it.
Can a Sponsor Rely on UK Investors Approaching It First
Only in narrow cases. FCA guidance says an offer made at the investor's own initiative is not marketing, and a written confirmation obtained before the offer should normally support that. The same guidance says a manager cannot rely on a confirmation gathered to get around the rules, so a sponsor that promotes its deal in any way should plan for the full regime.
When Should a Sponsor Bring in UK Counsel
Before any material reaches a UK investor. UK counsel can confirm whether the vehicle is an alternative investment fund, who counts as its manager, which promotion exemption applies and whether a notification is needed. U.S. securities counsel handles the Regulation S conditions and the sponsor's CPA handles withholding, and all three should agree on the channel before documents are prepared.
